These Terms of Service ("Terms") govern your use of the website and services provided by The CRM Experts, a company located at 440 S. Main Street, Fort Worth, Texas 76104 ("Company," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using our website, requesting our services, or entering into a service agreement with us, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

The CRM Experts provides professional consulting, implementation, training, and support services for Customer Relationship Management (CRM) systems, including but not limited to:

  • Microsoft Dynamics 365 implementation and customization
  • HubSpot setup, configuration, and optimization
  • HighLevel CRM deployment and automation
  • Zoho CRM integration and training
  • Data migration and system integration services
  • CRM strategy consulting and business process optimization
  • Ongoing technical support and maintenance
  • Training and educational services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to our clients.

3. Payment Terms

Service Fees

All fees for our services are as agreed upon in writing in individual service agreements or proposals. Unless otherwise specified:

  • Consulting services are billed hourly at our standard rates
  • Implementation projects are billed according to project milestones
  • Retainer services are billed monthly in advance
  • Training services are billed upon completion of sessions

Payment Schedule

  • Invoices are due within thirty (30) days of the invoice date
  • Project-based services may require deposits or milestone payments
  • Recurring services are billed monthly in advance
  • Late payments may incur interest charges of 1.5% per month

Expenses

Client shall reimburse Company for all reasonable out-of-pocket expenses incurred in connection with the services, including travel, accommodation, and third-party software licenses, upon presentation of appropriate documentation.

4. Intellectual Property Rights

Company Intellectual Property

All intellectual property rights in our methodologies, processes, documentation templates, and proprietary tools remain the exclusive property of The CRM Experts. This includes:

  • Implementation methodologies and best practices
  • Custom code, scripts, and configurations developed for general use
  • Training materials and documentation templates
  • Proprietary analysis and assessment tools

Client Data and Customizations

Client retains all rights to their business data, processes, and any client-specific customizations developed exclusively for their use. We agree to:

  • Maintain confidentiality of all client data and business information
  • Return or destroy client data upon termination of services
  • Provide client-specific customizations and configurations in a usable format

Third-Party Software

Use of third-party CRM platforms (Microsoft Dynamics, HubSpot, HighLevel, Zoho, etc.) is subject to their respective terms of service and licensing agreements. Client is responsible for obtaining and maintaining appropriate licenses.

5. Limitation of Liability

Service Limitations

Our services are provided on an "as is" basis. While we strive to provide high-quality professional services, we make no warranties or representations regarding:

  • Specific business outcomes or results from CRM implementation
  • Compatibility with all existing systems and processes
  • Uninterrupted or error-free operation of implemented systems
  • Performance of third-party software platforms

Limitation of Damages

In no event shall The CRM Experts be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of data or business information
  • Business interruption or downtime
  • Cost of substitute services

Our total liability for any claim shall not exceed the amount paid by client for services in the twelve (12) months preceding the claim, or $10,000, whichever is less.

Indemnification

Client agrees to indemnify and hold harmless The CRM Experts from any claims, damages, or expenses arising from:

  • Client's use of implemented systems or services
  • Violation of third-party intellectual property rights
  • Client's failure to comply with applicable laws or regulations
  • Unauthorized modifications to implemented systems

6. Termination

Termination by Either Party

Either party may terminate ongoing services with thirty (30) days written notice. Project-based services continue until project completion unless terminated by mutual agreement.

Termination for Cause

Either party may terminate immediately upon written notice if:

  • The other party materially breaches these terms
  • The other party becomes insolvent or files for bankruptcy
  • The other party engages in illegal or unethical conduct

Effect of Termination

Upon termination:

  • Client remains liable for all services provided through the termination date
  • We will provide reasonable assistance in transitioning services
  • All confidential information must be returned or destroyed
  • Provisions regarding confidentiality and intellectual property survive

7. Confidentiality

Both parties acknowledge that they may have access to certain confidential information. We agree to:

  • Maintain strict confidentiality of all client business information
  • Use confidential information solely for providing contracted services
  • Implement appropriate security measures to protect confidential data
  • Not disclose confidential information to third parties without consent

This obligation survives termination of our service relationship.

8. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Tarrant County, Texas.

10. Professional Standards

The CRM Experts operates according to professional consulting standards and agrees to:

  • Provide services with reasonable skill and care
  • Maintain professional competency and industry knowledge
  • Avoid conflicts of interest that could compromise service quality
  • Communicate clearly and promptly regarding project status

11. Data Protection and Privacy

Our handling of personal and business data is governed by our Privacy Policy, which is incorporated by reference into these Terms. We comply with applicable data protection laws and industry best practices for data security.

12. Dispute Resolution

Informal Resolution

Before initiating formal legal proceedings, parties agree to attempt good faith resolution of disputes through direct negotiation between senior representatives.

Mediation

If direct negotiation fails, parties agree to participate in mediation through a mutually agreed upon mediator in Fort Worth, Texas, with costs shared equally.

Arbitration

For disputes exceeding $25,000, either party may elect binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association in Dallas, Texas.

13. Entire Agreement and Modifications

These Terms, together with any written service agreements, constitute the entire agreement between the parties. No modification is valid unless in writing and signed by both parties. If any provision is found unenforceable, the remainder of the Terms remains in effect.
